The story of Nature's Way Natural Products LLC begins way back in 1999 when
my wife Gina & I decided to change careers and start a Natural Pest Control
Company.

Gina was a senior manager with a Fortune's 500 company, and I co-owned an
environmental company after having been an entomologist for 20 years working
on the biological control of mosquitoes.

We had our little company ready to go the only trouble was there were not
any natural products that performed well enough to satisfy the needs of the
demanding Northeast Florida Pest Control Market.

Fortunately, I had been trained as a chemist and Gina was an expert on
organization, so we got to work; and it was not too long before we had
developed the natural products & protocols necessary for our business.

Our new natural products were approved by the EPA and approved for sale by
the State of Florida as registered pest control products. More importantly
they worked. amazingly well.

Today our company has successfully treated thousands of homes, businesses,
restaurants, schools, doctors' offices and childcare centers with our
natural products and Gina and I are ready to share our natural products with
the world.

FRANCHISE OVERVIEW

In January 2019 we started Nature's Way Natural Products LLC. We started to
manufacture our two new products Mosquito Man & Bug Man for the Home & Pets.

Mosquito Man is a natural repellent for nuisance flying insects such as
mosquitoes, no-see-ums, midges, and yellow flies. It has a clean, aromatic
smell and a pleasant non-oily feel.

Bug Man will kill and repel all insects & spiders and it smells great. Both
products are eco-friendly for people, pets, and the environment.

People love our natural products. They love the way they smell and the way
they work because they outperform & outlast their synthetic counterparts.

They are so safe we will spray some on some ants and kill them and then
spray some on our hand and lick it, which we do all the time in front of our
customers.

These are the only 2 pest control products people will ever need in their
homes.



We are now ready to sell Franchises to make & sell our natural products.

This Franchise is for people who would like to earn enough money without
much effort to supplement their retirement or perhaps for more ambitious
people who wish to sell within their territory as well as sell to big box
sales and to sell on the Internet.

The manufacturing process for making Nature's Way Natural Products is simple
and straightforward. It requires little space, hardly any water and no
special facilities other than a garage.

To protect the Brand the Franchisees would all have to follow our guidelines
on quality control in the formulation, bottling and labeling.

We plan on earning our revenue with a Franchise Fee for our Operating Plan.
We are not going to charge any royalties. We are selling our concentrated
formula tank mixes to Franchisees at a very reasonable markup price.

We give each Franchisee a Home Territory, which is approximately half their
home state. Some states only have one territory, most have 2, some 3 or 4.



When it comes to Internet Marketing Nature's Way Natural Products LLC is a
pure play company. The task of handling e-commerce operations is up to the
franchisee. In this scenario franchisees own and operate their own
transactional websites and customer service. The Franchisor has no control
over the independent franchisee's e-commerce operations.

The Franchisor's only focus is selling the Franchise for the original
Franchise Fee and the subsequent Product Formula Fees. Nature's Way Natural
Products LLC has no obligations or control of e-commerce connected with our
Franchisees.

The Franchisees would be responsible for manufacturing and selling the
product. The Franchisee would be responsible for getting their own
containers, sprayer tops and labels. The quality control standards for what
types of containers, spray tops & label specifications would be in our
Operations Guide.

The Franchises would be responsible for any state registration fees for
selling products in their state as well as business fess associated with
operating a franchise in their state. They would also be responsible to pay
any taxes on their products as well as administration fees.

We would give them access to all the venders we use for containers,
spray/triggers, mist tops, labels, display boxes, mailing boxes, etc.

Initial Fee: The Franchise Fee: $55,000.00. This includes our Proprietary
Trademarks, Proprietary Information an Operational Guide as well as an
Operational Video and Franchise Support Accessibility.

Initial Start-Up costs: The Franchisee would also be required to pay
start-up costs of approximately $10,000.00 (More or less, Depending on the
market prices of bottles, closures, labels, boxes etc.).

Start-Up Costs: (Note: The successful Franchisee will receive a complete
Operations Guide with all the specifications to order these products &
materials)

* 30-gallon PCP Tank with Stand, cost + shipping & handling,
approximately $350. (Note: this size tank does 25 gallons of product).
* A Mixer, cost + shipping & handling approximately $170.
* A Fill Machine from Easy Fill, cost + shipping & handling
approximately $400.
* A Labeling Machine from Easy Labeler, cost + shipping & handling,
approximately $400.
* Bottles for Initial Start-up:1,000 8oz. bottles @ 19-25 cents each=
($250, high end), 1,000 320z. Mosquito Man bottles @ 35-40 cents each= $400
high end), 1,000 32oz. Bug Man bottles @ 50-60 cents each= $600 high end).
Total=$1250.00, (high end).
* Closures for Initial Start-up: 1,000 Mist/Sprayers for 8oz. Mosquito
Man @ 14-20 cents each= $200, (high end), 2,000 Spray/Triggers for 32oz.
Mosquito Man and 32oz. Bug Man @ 27-35 cents each=$700 (high end) or less.
Total= $900.00, high end.
* Labels for Initial Start Up: 1,000 labels for Mosquito Man 8oz @
14-20 cents each= $200 (high end), 1,000 labels for 32oz. Mosquito Man @
27-30 cents each= $300 (high end), 1,000 labels for Bug Man @ 37-40 each, 2
labels per bottle=$400 (high end). Total=$900.00 high end.
* Boxes: Display boxes for 8oz. Mosquito Man, approximately
$1,500/thousand, Shipping boxes for 320z. Mosquito Man & Bug Man
approximately 400/thousand, ($800 for 2,000). Total=$2,300.00
* They would get enough tank mixes for 5 tank mixes of 8oz. Mosquito
Man, approximately $750.00 + shipping and handling.
* Each tank of Mosquito Man would yield approximately 396 bottles of
8oz. 33 case/tank, 33 cases @ $84/case, $2,772.00 wholesale to stores or 396
bottles at $14/bottle or $5,544 on independent sales or internet sales.
* They would also get enough tank mixes for 5 tanks of 32oz. Mosquito
Man, approximately $750.00 + shipping & handling.
* Each tank would yield 112 bottles of 32oz. Mosquito Man product.
28cases/tank or 28 X $60/case, ($15/bottle), $1,680.00 wholesale to stores
or 112 bottles at $30/bottle or $3,360.00 on independent sales and the
internet sales.
* They would also get enough tank mixes for 5 tanks of 32oz. Bug Man,
approximately $750.00 + shipping & handling.
* Each tank would yield 112 bottles of 32oz. Bug Man product.
28cases/tank or 28 X $60/case, ($15/bottle), $1,680.00 wholesale to stores
or 112 bottles at $30/bottle or $3,360.00 in independent sales or internet
sales.
* Miscellaneous Costs: $500.00

Total=$9,420.00

2) Once the Franchisee is in place, we would charge approx. $150.00 + tax &
shipping, for enough formula for a 25-gallon tank mix of Mosquito Man or Bug
Man.

The Franchisee is responsible for ordering all the equipment & materials
needed in the start-up costs according to the directions in the Operations
Guide.
